Short answer: Agility Robotics, the maker of the Digit humanoid, and the blank-check company Churchill Capital Corp XI expect their merger to bring in gross capital of about $465 million before transaction expenses, according to a joint announcement on 30 October 2026. The companies expect the deal to close on 4 November, with the combined company's shares expected to start trading on Nasdaq under the ticker AGLT on 5 November.

According to the announcement, the total is made up of about $164 million left in Churchill XI's trust account after its redemption deadline passed, about $201 million in common stock PIPE commitments at $10.00 per share led by Foxconn, and $100 million in equity that Agility says it already received after the deal was first announced. Churchill XI shareholders are due to vote at an extraordinary general meeting on 2 November.

Agility says it has a pipeline of more than 30 prospective customers across manufacturing, automotive, aerospace, defense, logistics and consumer products. The announcement repeats news from 26 October that GXO plans to put Digit into two more facilities, that AGCO expects to start a pilot in 2027 and that three more manufacturing customers have joined paid programs. We covered those updates in our stories on GXO's expansion and the AGCO pilot.

The company also says it has more than $300 million in committed multi-year orders for Digit 5, the next-generation robot it showed on 15 September 2026, with early-access deliveries planned for the first half of 2027 and general availability by the end of 2027. Agility notes that this figure is a potential multi-year value that depends on milestones being met and is not current revenue. More on that robot is in our Digit 5 story.

Investors in Agility listed in the announcement include NVIDIA, Amazon, SoftBank Vision Fund 2, Schaeffler, Foxconn, Abico, DCVC and Playground Global. Existing Agility shareholders are rolling their equity into the combined company and have agreed to a 180-day lock-up, according to the announcement, which also says the two companies' joint registration statement was declared effective by the US Securities and Exchange Commission on 13 October.
